The question of whether the Investment Agreement dated 27.10.2024, containing an arbitration clause, was automatically terminated due to non-payment of advance consideration (Rs. 30 Crores) is a disputed factual issue to be adjudicated by the Arbitrator, not the referral court under Section 11(6). The arbitration clause survives termination for disputes covered by the agreement, including termination issues, as per the separability presumption and competence-competence doctrine.

The 4th respondent, not a signatory to the Investment Agreement and not served with notice under Section 11(5) or Section 21, is not a veritable or necessary party to the arbitration proceedings. The complexity of determining whether a non-signatory is bound by the arbitration agreement is to be resolved by the Arbitral Tribunal, not the referral court.

Arbitration Request allowed for disputes between the applicant and respondents 1 to 3. Mr. Justice N.K. Balakrishnan appointed as sole Arbitrator to resolve disputes arising from the Investment Agreement, with all issues, including jurisdiction and limitation, left open for adjudication.
